Sparq Platform – Partner Terms and Conditions

These Terms govern how organizations use the Sparq Platform to publish Opportunities, consider Applications and access Subscriptions. Please read them before creating a Partner account or starting a trial or Subscription.

1. Who we are and how these Terms apply

1.1 The Platform is operated by Sparq Technologies LLC FZ, a company incorporated in Meydan Free Zone, Dubai, United Arab Emirates, with registered office at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, UAE (“Sparq”, “we”, “us” or “our”).

1.2 These Terms form an agreement between Sparq and the organization registering for a Partner account (“Partner”, “you” or “your”). The individual accepting these Terms confirms that they have authority to bind the Partner. The Partner is responsible for its authorized account users.

1.3 Acceptance requires an affirmative electronic action through an unticked box. These Terms take effect when accepted. Sparq will retain appropriate records of the applicable version and acceptance. The Privacy Policy explains the handling of personal data separately.

1.4 Completing registration creates a Partner account but does not itself activate a paid Subscription or provide access to paid features. Following registration, you may select and activate an available Subscription or eligible free trial in accordance with sections 7 and 8. Applicable fees, trial conditions, usage limits and payment information will be displayed before you confirm your selection. Mandatory rights and obligations under Applicable Law are preserved.

2. What the Platform does – and does not do

2.1 Sparq operates an online platform through which eligible young people (Members) may discover and apply for internship, work-experience, training and similar Opportunities offered by Partners. The Platform may support listing creation, Applications, algorithm-assisted matching, candidate review and Application-status updates.

2.2 Sparq provides Platform access and related subscription functionality. The Partner independently creates Opportunities, reviews Applications, selects candidates, makes offers and enters into any Placement arrangements directly with Members. Sparq is not a party to any Placement and does not act as an employer, sponsor, recruitment principal, workplace supervisor or training provider.

2.3 Subject to its independent obligations under Applicable Law, Sparq does not undertake to administer Placements, verify each Opportunity or candidate, provide employment advice or supervise a Member’s work. Platform recommendations, scores, introductions and status notifications do not constitute Sparq approval, verification or a guarantee of suitability.

2.4 The Platform does not provide unrestricted direct messaging between Members and Partners. Sparq may introduce or modify features in accordance with section 16.

3. Partner eligibility, representatives and accounts

3.1 You must be a legally established organization and use the Platform only for lawful business purposes and genuine Opportunities. You must provide accurate legal identity, business, contact, representative and payment information, and keep it current.

3.2 Each representative must have authority to act for the Partner. You must manage access by your authorized users, protect login credentials, comply with the seat allowance in your Subscription and promptly report suspected account compromise to support@sparq.ae. You are responsible for their use of the account, except to the extent caused by Sparq’s breach.

3.3 We may reasonably request evidence of incorporation, trade licence, identity or authority and may restrict activation or access if information is incomplete or unreliable. Any checks we perform do not transfer responsibility for your business, Opportunities or Placements to Sparq.

3.4 You must not share accounts beyond authorized seats, circumvent usage limits, scrape Member information, interfere with security, impersonate others or use the Platform unlawfully.

4. Opportunities, listings and Applications

4.1 You must present each Opportunity accurately and clearly, including relevant details of its duties, location, duration, hours, eligibility, remuneration or unpaid status, expenses, supervision and other material conditions. Where applicable, you must disclose visa, residency, permit and other lawful prerequisites.

4.2 You must not publish misleading, discriminatory, exploitative, unsafe or unlawful Opportunities. You must promptly correct or remove inaccurate or filled listings and must not make false statements about pay, training, status, qualifications or likely outcomes.

4.3 You must review Applications fairly and lawfully, keep interview, offer, rejection and Placement statuses accurate and update the Platform promptly. Sparq may relay your status updates to Members, but does not independently validate each status.

4.4 Sparq may moderate, reject, suspend or remove listings where reasonably necessary for security, safeguarding, suspected misconduct, breach of these Terms or Applicable Law. Where appropriate and reasonably practicable, Sparq will provide notice and an opportunity to address the issue, unless immediate action is justified by safety, security or legal concerns.

5. Placements, legal compliance and Members under 18

5.1 You are responsible for ensuring each Opportunity and Placement complies with Applicable Law, including applicable employment, training, education, recruitment, immigration, work-permit, wage and wage payment requirements (including the UAE Wage Protection System, where applicable), tax, insurance, equality, health and safety and child-protection requirements.

5.2 Before a Member begins a Placement, you must secure all required approvals, permits, agreements, insurance and supervision, and confirm the lawful treatment of any wages, expenses, benefits, hours and working conditions. An unpaid label does not itself make an arrangement lawful.

5.3 For a Member aged 16 or 17, you must ensure that the proposed Placement is lawful for that age, obtain any separate parent or guardian approvals and official permits required for the particular Placement, and comply with applicable restrictions on working hours, activities, medical fitness, supervision and safeguarding. A parent or guardian’s consent to Platform use does not authorize a particular Placement.

5.4 You must not require unlawful fees or deposits from Members, unlawfully retain identity documents or use the Platform to circumvent legal protections. You must maintain a suitable reporting and response process for workplace and safeguarding concerns.

5.5 You must give Members accurate information enabling them and (where applicable) their parent or guardian to assess the Opportunity. You must not represent that Sparq has approved or legally cleared any Placement.

6. Candidate data, selection and confidentiality

6.1 When a Member submits an Application, relevant profile and Application information may be available to your authorized account administrators and personnel assessing Members. You must restrict access to those with a legitimate need and protect Member information, including information relating to Members under 18.

6.2 You may use Member information only to assess the relevant Application, communicate lawfully about the Opportunity and administer a lawful Placement. You must not sell it, scrape it, add it to unrelated databases, use it for unrelated marketing, train unrelated AI models on it or disclose it to unauthorized persons. Any further use must comply with Applicable Law, including any applicable requirements concerning lawful processing, transparency and consent.

6.3 You are independently responsible for your own assessment and subsequent processing of Member personal data. You must comply with Applicable Law, including requirements for transparency, access controls, security, retention, international transfers, incident response and individual rights. You must promptly notify Sparq at support@sparq.ae of any actual or suspected compromise involving Member information obtained through the Platform and cooperate reasonably with Sparq on incidents and rights requests, without delaying any legally required notifications.

6.4 You must make selection decisions independently and lawfully. You must not rely solely on matching scores or automated suggestions where doing so would be unlawful or inappropriate. You must not discriminate unlawfully or misrepresent Member outcomes.

6.5 Each party must protect the other party’s non-public commercial, technical and security information using reasonable care and may disclose it only to personnel and advisers who need to know and are bound by appropriate confidentiality obligations, or where legally required. This does not restrict information already public without breach, independently developed or lawfully received without a duty of confidence. These obligations survive termination for as long as the information remains confidential.

7. Annual subscriptions and plan allowances

7.1 Subscriptions are annual, payable in advance in AED, and subject to the following plan allowances:

  • Core: AED 1,499/year: 1 job publication; 1 Placement; 2 authorized seats; no featured jobs.
  • Impact: AED 3,499/year: 5 job publications; 5 Placements; 3 authorized seats; 3 featured jobs.
  • Enterprise: AED 9,999/year: 20 job publications and 20 Placements; 5 authorized seats; 10 featured jobs.

7.2 Each job publication and each recorded confirmed hire or Placement counts against the applicable allowance, subject to the plan rules disclosed before purchase. You must record statuses accurately and must not circumvent limits by deleting, relabeling or duplicating records. Whether drafts, republications or edited listings consume an allowance must be reflected accurately in the purchase information and live Platform.

7.3 Unused allowances do not carry forward or have a cash value. Existing published jobs and recorded Placements may count towards the allowance following a plan change. Before confirming a plan change, Sparq will disclose the applicable limits, allowance reset dates and consequences of the change.

7.4 Sparq may apply reasonable security, anti-abuse and technical controls. It will not materially reduce paid entitlements during a current paid period without the notice, remedies or agreement required by Applicable Law.

8. Trial, payment, taxes and automatic renewal

8.1 An eligible new Partner account may receive one seven-day free trial. Before activation, we will show the selected plan, trial period, payment authorization and annual charge payable if the trial converts to a Subscription. You may stop the trial from automatically converting by cancelling before it expires, unless the early-charge event in section 8.2 has already occurred.

8.2 If you do not cancel before the trial ends, the selected annual Subscription begins and its fee is charged to your authorized payment method. If you record a confirmed hire or Placement during the trial, the trial ends immediately and the annual fee becomes payable. We will explain this charge before you confirm the hire or Placement.

8.3 Subscriptions renew automatically for successive 12-month periods unless you disable automatic renewal before the next charge. We will display the amount, billing interval, renewal terms, cancellation method and refund conditions before payment, and issue payment documentation and material notices required by Applicable Law.

8.4 Fees are stated in AED. VAT and other taxes will be charged or included, as applicable, and disclosed as required by law. A third-party payment provider may process payments securely. You authorize charges to the payment method you provide for the agreed trial conversion, initial Subscription and renewals.

8.5 If Sparq has agreed a preferential renewal price, that price will apply for the agreed period. A plan change may affect that pricing. Sparq will give advance notice of future price changes and obtain agreement or provide any remedy required by Applicable Law.

9. Changing your plan

9.1 You may request an upgrade or downgrade through the Platform. Before confirmation, we will show the new price, any credit for unused Subscription value, any amount to be charged or refunded, the effective date and the new renewal date.

9.2 Where the Platform offers an immediate plan change, the confirmation screen will specify the start of the new annual billing period, any credit for unused paid Subscription value and any additional charge or refund. The displayed calculation, once accepted, governs subject to correction of error and Applicable Law.

9.3 A plan change may end eligibility for a previously agreed price. Existing publications and recorded Placements may count against the new allowances. Any allowance reset date that differs from the new annual billing date must be clearly disclosed before the change is confirmed.

9.4 Where existing usage exceeds a lower plan’s allowance, existing published content need not automatically be removed, but you may not create additional usage above the new plan’s limits.

10. Cancellation and refunds

10.1 You may disable automatic renewal through your account settings before the next renewal payment. Unless a refund or other legal remedy applies, paid access continues until the end of the period already paid for. Where an eligible refund is approved, paid access will end upon approval, unless Applicable Law requires otherwise.

10.2 In addition to mandatory legal rights, Sparq offers a refund of the most recent Subscription payment if you request cancellation within 14 days after the first paid Subscription begins or within 30 days after a renewal payment, provided no more than five jobs have been created in the relevant account, including drafts. This is a full refund of the applicable payment, subject to the stated criteria and mandatory rights under Applicable Law.

10.3 For a trial converting to a paid Subscription, the initial 14-day refund window runs from the date of the first successful paid charge. We will apply the published criteria consistently and will not impose undisclosed usage conditions.

10.4 You may request cancellation or a refund through the account process or at support@sparq.ae. Refund eligibility does not depend on which supported cancellation method you use. We will explain any refusal and arrange refunds due promptly to the original payment method where practicable. If a refund transfer fails, we will take reasonable steps to arrange an alternative lawful payment method.

10.5 These additional contractual refund terms do not limit any statutory right to a refund, remedy, cancellation or compensation under Applicable Law.

11. Payment failures and account access

11.1 Paid features will not activate until an initial payment has been successfully authorized and processed, except for any expressly available trial features.

11.2 If a renewal payment fails, our payment provider may retry the authorized payment method and we may request updated details. You have seven days to pay, during which paid features may remain accessible at Sparq’s discretion. Continued access during this grace period does not waive the unpaid charge.

11.3 If payment remains outstanding after the grace period, Sparq may restrict or suspend paid features. We will restore paid access after successful payment if the account otherwise remains eligible and in good standing.

11.4 We will provide payment confirmations and material notices as required by Applicable Law. Any outstanding fees properly payable under these Terms remain due.

12. Content and intellectual property

12.1 You retain the intellectual property rights you hold in your Partner Content. You warrant that you have all rights, permissions and licences necessary to provide that content and authorize its use under these Terms, without infringing third-party rights.

12.2 You grant Sparq a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt for technical formatting, transmit and display Partner Content as reasonably necessary to operate the Platform, promote the relevant Opportunities, process Applications and maintain lawful records. The licence ends when those purposes cease, subject to lawful retention. You must not include third-party or Member personal data in Partner Content unless authorized and lawful.

12.3 Sparq and its licensors retain ownership of the Platform, software, branding, models, analytics and other proprietary materials. During a valid Subscription and subject to these Terms, Sparq grants the Partner a limited, non-transferable, revocable right to use the relevant Platform features internally for their intended purpose.

12.4 You must not reverse engineer, resell, sublicense, scrape, copy substantial Platform content or otherwise misuse Sparq’s intellectual property. Personal data processing remains governed by Applicable Law and the Privacy Policy, not by the content licence.

13. AI-assisted tools and Platform features

13.1 The Platform may offer AI-assisted matching, recommendations, programme-building tools, scores and generated suggestions, including tools that assist with developing Opportunity descriptions, structuring internship or training programmes, assessing relevant skills and experience, identifying potentially suitable Members and generating related content or recommendations (“AI Tools”). The AI Tools may process information provided by you or Members and generate outputs based on that information and other relevant Platform data. Results may be incomplete, inaccurate or affected by limitations or bias. They are decision-support tools and do not establish legal eligibility, competence, suitability or the availability of a Placement.

13.2 You must independently assess all AI-generated information and verify its accuracy, relevance and appropriateness before relying on or using it. You remain responsible for reviewing and approving any AI-generated Opportunity descriptions, programme materials, assessments, recommendations or communications, and for making lawful selection and Placement decisions. You must not rely solely on AI-generated outputs to make decisions that materially affect Members, including decisions concerning eligibility, selection or rejection, without appropriate human review and compliance with Applicable Law. You must not input unnecessary sensitive personal information or use generated content in a manner that breaches Applicable Law.

13.3 Sparq may use specialist service providers to operate Platform functions, including AI Tools, subject to its obligations under Applicable Law. The Privacy Policy explains relevant processing. Acceptance of these Terms is not consent to unrelated training of AI models on identifiable Member data. You must ensure that information submitted to AI Tools is accurate to the extent reasonably practicable, that you have the necessary rights and permissions to submit and use it, and that you do not use the AI Tools to generate unlawful, discriminatory, misleading or otherwise inappropriate content. You must not attempt to circumvent safeguards or use AI-generated outputs in a way that infringes third-party rights.

13.4 Use of the AI Tools and other Platform features is subject to reasonable fair usage limits designed to maintain service availability, performance, security and appropriate use. You must not use automated means, excessive requests or other practices that materially interfere with the Platform or other users. Sparq may apply reasonable technical limits or temporarily restrict excessive or abusive use, acting proportionately and, where reasonably practicable, providing prior notice. Fair usage controls will not be used to materially reduce the job publication, Placement or other paid allowances expressly included in your Subscription, except as permitted by these Terms and Applicable Law.

13.5 AI Tools and other Platform features may be developed, modified or updated over time. Sparq may reasonably update Platform functionality in accordance with section 16, subject to existing paid entitlements. Feedback and reviews, if introduced as Platform features, will be subject to any applicable Platform rules.

14. Safety, reporting and cooperation

14.1 You must maintain appropriate supervision, safe working conditions, safeguarding arrangements and complaint procedures for every Placement. You must respond promptly to reports of exploitation, harassment, discrimination, fraud, unsafe conduct or harm involving a Member.

14.2 You must promptly notify Sparq at support@sparq.ae of serious concerns relating to an Opportunity, Platform account or Member safety, and cooperate reasonably with Sparq’s investigation and any lawful regulatory request. You must also make reports to competent authorities where required by Applicable Law. Reporting to Sparq does not discharge that obligation.

14.3 Sparq may restrict listings or accounts, preserve relevant evidence and make referrals where appropriate or legally required. Sparq does not assume the Partner’s duties to supervise Placements or comply with employment and safeguarding laws.

15. Responsibility, liability and indemnity

15.1 Each party is responsible for its own acts and omissions and statutory obligations. The Partner is responsible for its Opportunities, selection decisions, Placement arrangements, workplace conditions, permits and the acts of its representatives and personnel. Sparq remains responsible for its own obligations under Applicable Law.

15.2 To the fullest extent permitted by Applicable Law, Sparq does not guarantee Applications, interviews, hires, suitability, commercial returns, uninterrupted access or error-free AI results. Sparq is not responsible for loss caused solely by a Partner’s independent Placement arrangements or conduct, without excluding any liability attributable to Sparq itself.

15.3 To the fullest extent permitted by Applicable Law, Sparq excludes liability for indirect or consequential losses and for loss of profits, revenue, business, goodwill or anticipated savings, whether direct or indirect. Subject to section 15.4, Sparq’s total aggregate liability to the Partner arising out of or in connection with the Platform or these Terms, whether in contract, tort (including negligence) or otherwise, will not exceed the Subscription fees actually paid by the Partner to Sparq during the 12 months immediately preceding the event giving rise to the claim. This cap applies only to Sparq’s liability, not to amounts owed or indemnities given by the Partner.

15.4 Nothing in these Terms excludes or limits fraud, wilful misconduct, liability that cannot lawfully be excluded or limited, or either party’s independent obligations under Applicable Law. Any exclusion or limitation of liability applies only to the extent enforceable under Applicable Law. Nothing restricts the powers of a regulator or mandatory rights of third parties.

15.5 To the extent permitted by Applicable Law, the Partner will indemnify and hold harmless Sparq against all losses, liabilities, damages, claims, regulatory fines and penalties (to the extent legally recoverable), and reasonable legal and other costs and expenses, including reasonable investigation, remediation and defence costs, arising from or in connection with:

  • (a) any actual or alleged infringement of third-party intellectual property rights by Partner Content;
  • (b) unlawful, inaccurate or materially misleading Opportunities;
  • (c) any breach of the Partner’s data protection or confidentiality obligations;
  • (d) unlawful Placement arrangements, workplace misconduct or safeguarding failures;
  • (e) any failure to obtain required consents, licences, permits or approvals; or
  • (f) any other breach by the Partner of Applicable Law in connection with its use of the Platform, Opportunities, Applications or Placements.

This indemnity includes, to the extent permitted by Applicable Law, losses and costs arising from third-party claims, regulatory investigations, enforcement proceedings and corrective or remedial measures relating to the matters described above, whether or not a formal claim or proceeding has been commenced.

15.6 In relation to the indemnity under section 15.5, Sparq will notify the Partner of any claim or regulatory investigation or enforcement action within a reasonable period after becoming aware of it, provided that any delay will not relieve the Partner of its obligations except to the extent materially prejudiced. Sparq may control the defence and settlement of any claim, acting reasonably and keeping the Partner appropriately informed. The Partner will provide reasonable cooperation at its own expense. The indemnity will be reduced to the extent that the relevant loss is caused by Sparq’s own breach, negligence or unlawful conduct.

16. Changes, suspension, termination and disputes

16.1 Sparq may suspend or restrict access where reasonably necessary for non-payment, material breach, fraud, security, safeguarding, unlawful conduct or a legal requirement. We will provide notice and an opportunity to remedy where appropriate and reasonably practicable.

16.2 Sparq may terminate for a material breach not remedied within a reasonable period after notice, where the breach is capable of remedy and notice is appropriate, or immediately where required for serious misconduct or legal compliance. The Partner may stop future renewal under section 10. Prepaid fees and refunds are dealt with under section 10 and Applicable Law.

16.3 We may change these Terms on reasonable notice. Material adverse changes affecting an existing paid Subscription will be handled in accordance with Applicable Law, including any required agreement, notice or remedy. Non-material or legally required changes may take effect on the stated date.

16.4 On termination, access ends, subject to any agreed transition and mandatory rights. Accrued payment obligations, confidentiality, lawful record-keeping, intellectual property protections, liability and indemnity provisions, and dispute-resolution terms survive to the extent their nature requires.

16.5 These Terms and any related non-contractual dispute are governed by the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai. Subject to mandatory jurisdiction and other requirements of Applicable Law, the competent courts of Dubai have exclusive jurisdiction. Complaints and notices may be sent to support@sparq.ae.

16.6 If any provision is invalid or unenforceable, the remainder remains effective to the extent permitted by law. Failure to enforce a right is not a waiver. Neither party may transfer this agreement without the other’s consent, except that Sparq may transfer it in connection with a bona fide reorganization or business transfer where lawful and without materially prejudicing the Partner.
